1. Agreement to Terms

By accessing and using Tạp Chí Phố Wall (the "Service"), you agree to be bound by these Terms and Conditions ("Terms"). If you disagree with any part of these terms, you may not access the Service.

2. Service Description

Tạp Chí Phố Wall is a Vietnamese-language financial news and analytics platform focused on the US stock market, providing:

  • Financial news and market analysis: Updates on news, stock market trends
  • Real-time stock data: Stock prices, charts, financial metrics
  • AI-powered insights: Stock analysis with real-time web and X (Twitter) search
  • Educational content: Courses, guides, videos on investing
  • Investment tools: RRG charts, earnings calendar, economic calendar
  • Community features: Comments, discussions, knowledge sharing

3. User Accounts

3.1 Account Registration

To access certain features, you must create an account. You must provide accurate, complete, and updated information. You are responsible for maintaining the security of your account credentials.

3.2 Account Responsibilities

You agree to:

  • Keep your login credentials secure
  • Notify us immediately of any security breach
  • Be responsible for all activities that occur under your account
  • Provide accurate and truthful information

3.3 Account Sharing

Each account is licensed to one individual user only and may not be shared, transferred, resold, or made available for use by anyone else. You may not share login credentials, access to paid content, or subscription benefits with any other person, including family members, friends, coworkers, or online groups.

We may monitor reasonable usage signals, including device counts, login locations, IP addresses, simultaneous sessions, and activity patterns, to detect account sharing or unauthorized access. Use of multiple devices by the same individual is not automatically a violation, but you may be asked to verify your identity or secure your account if we detect unusual activity.

If we reasonably believe an account is being shared or used by multiple people, we may limit sessions or devices, sign out active sessions, require a password reset, suspend access, or terminate and ban the account. Serious or repeated violations may result in permanent termination without prior notice and without a refund, to the extent permitted by law.

3.4 Account Tiers

We offer multiple subscription tiers:

  • Free: Limited access to basic content and features
  • Tier 1, 2, 3: Increasing access to premium content, AI analysis, advanced tools, and educational content

4. Subscription and Payment

4.1 Billing

  • Paid subscriptions are billed in advance for the selected monthly or annual cycle
  • Monthly plans are charged in full for one month at the start of each monthly cycle. Annual plans are charged in full for one year as a single payment at the start of each annual cycle, even when pricing is displayed as a monthly equivalent
  • Payments are processed securely via Stripe
  • Prices may change with 30 days notice
  • All fees are in USD or VND
  • Taxes may apply based on your location

By completing payment, you confirm that you selected the correct plan and billing cycle, authorize the initial charge and the disclosed recurring renewal charges, and agree that access to digital content and features begins immediately after successful payment.

4.2 Auto-Renewal

Your subscription automatically renews on the same monthly or annual cycle, and your payment method is charged on the renewal date, unless you cancel before the renewal charge is processed. You are responsible for canceling before the renewal date if you do not wish to continue. Cancellation after a renewal charge has been processed only prevents future renewals and does not reverse the current payment.

4.3 Cancellation

You may cancel your subscription at any time through your account settings. Cancellation takes effect at the end of the current billing cycle. You retain access through the end of the paid cycle and will not be charged for the next cycle if cancellation is completed before the renewal charge is processed. Cancellation does not create a right to a refund for the current cycle.

4.4 No-Refund Policy

Except where required by applicable law or where we make a clear written refund offer that expressly applies to the specific transaction at checkout, all processed payments are final and non-refundable. This policy applies equally to monthly and annual plans, including initial payments and all renewals.

We do not provide refunds or credits for unused time, partially used billing cycles, failure to use the Service, failure to cancel before renewal, selection of the wrong plan or billing cycle, a change of mind, or dissatisfaction after digital access has been provided. An annual plan is a prepaid commitment for the entire year and is not prorated or refunded for remaining months. There is no free trial or seven-day refund right unless we expressly display such an offer in writing at checkout.

If you believe a charge is duplicated, billed for the wrong amount, or genuinely unauthorized, contact support@tapchiphowall.com promptly so we can investigate. We may issue a refund at our sole discretion in exceptional circumstances; doing so does not create an obligation to issue refunds in other cases. Nothing in this policy limits any non-waivable rights you have under applicable law or payment-network rules.

4.5 Payment Disputes and Chargebacks

If you authorized a payment or renewal, you must not knowingly misrepresent the charge to your bank, card issuer, or Stripe as fraudulent, unauthorized, or for services not received merely to avoid this No-Refund Policy. Where practicable, please contact us before filing a dispute so we have an opportunity to investigate a billing error or access problem.

We reserve the right to respond to and challenge payment disputes that we believe are inaccurate. To the extent permitted by law, we may provide Stripe, card networks, and card issuers with relevant evidence, including your acceptance of these Terms, payment and renewal records, receipts, cancellation history, login and access records, IP address or device information, Service usage history, and support communications.

Filing a dispute does not automatically cancel your subscription or prevent future renewal charges. You must still cancel using the method described in Section 4.3. We may suspend or terminate access while a dispute is under review. A knowingly false or abusive dispute is a material violation of these Terms and may result in account termination. This section does not limit your right to report a genuinely unauthorized transaction, does not limit any non-waivable right under applicable law, and does not guarantee the outcome of any dispute decided by a card issuer or payment network.

5. Acceptable Use Policy

You agree NOT to:

  • Violate any applicable laws or regulations
  • Infringe on others' intellectual property rights
  • Upload or transmit viruses or malicious code
  • Harass, abuse, or harm other users
  • Spam or send unsolicited promotional content
  • Impersonate any person or entity
  • Interfere with the normal operation of the Service
  • Attempt unauthorized access to our systems

5.1 Attacks, Crawling, and Data Use

Except for generally available search-engine crawlers that comply with our robots.txt file, or where we have given prior written authorization, you may not:

  • Use any bot, crawler, spider, scraper, script, or other automated tool to access, copy, index, monitor, download, or collect content or data from the Service
  • Extract in bulk, aggregate, copy, republish, resell, or create datasets from our content, financial data, analysis, AI output, or other information
  • Access or attempt to access APIs, endpoints, data feeds, servers, databases, or resources that are not expressly made available to you through the Service interface
  • Bypass authentication, paywalls, rate limits, usage limits, robots.txt, blocking measures, or any security or access control
  • Probe for vulnerabilities, conduct penetration testing, exploit weaknesses, distribute malicious code, perform credential stuffing, or attempt unauthorized access
  • Attack, overload, disrupt, or degrade the Service, including through denial-of-service or distributed denial-of-service attacks

Any attack, unauthorized crawling or data collection, or attempt to engage in these activities is a material violation of these Terms. We may block IP addresses, devices, or requests; limit access; suspend or terminate and permanently ban the account and associated accounts without prior notice and without a refund, to the extent permitted by law. We may also preserve evidence, notify service providers or law enforcement, and pursue appropriate legal remedies.

6. Intellectual Property

6.1 Our Ownership

All content, features, and functionality of the Service (including but not limited to text, graphics, logos, icons, images, videos, AI analysis) are owned by Tạp Chí Phố Wall and protected by copyright, trademark, and intellectual property laws.

6.2 Limited License

We grant you a limited, non-exclusive, non-transferable license to access and use the Service for personal, non-commercial purposes. This license does not include the right to:

  • Resell or make commercial use of the Service
  • Collect or use product listings, descriptions, or prices
  • Copy, reproduce, or duplicate content

6.3 User Content

You retain ownership of any content you submit to the Service (comments, reviews, etc.). However, by submitting, you grant us a worldwide, royalty-free license to use, copy, modify, and display that content in connection with the Service.

We are not licensed financial advisors. You should:

Our Service may contain links to third-party websites or services. We do not control and are not responsible for the content, privacy policies, or practices of any third-party websites or services. You acknowledge and agree that we shall not be responsible, directly or indirectly, for any damage or loss caused by or in connection with use of such websites or services.

10. Privacy

Your use of the Service is also governed by our Privacy Policy, which is incorporated into these Terms by reference. Please review the Privacy Policy to understand our practices.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, TẠP CHÍ PHỐ WALL AND OUR AFFILIATES, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES.

This includes but is not limited to:

  • Lost profits, data, or business opportunities
  • Business interruption
  • Financial losses from investment decisions
  • Errors or omissions in content

The Service is provided "AS IS" and "AS AVAILABLE" without warranties of any kind.

Our total liability to you for any claims arising from or related to these Terms or the Service shall be limited to the amount you paid us in the 12 months preceding the claim.

12. Indemnification

13. Termination

We may terminate or suspend your account and access to the Service immediately, without prior notice or liability, for any reason, including but not limited to:

  • Discontinuation or modification of the Service
  • Technical or security issues
  • Fraudulent or illegal activity
  • Account sharing or allowing multiple people to use one account
  • Attacking the Service or crawling, scraping, or extracting data without authorization
  • Engaging in conduct harmful to other users

Upon termination, your right to use the Service will cease immediately. All provisions which by their nature should survive termination shall survive, including ownership provisions, warranty disclaimers, indemnity, and limitations of liability.

14. Changes to Terms

We reserve the right to modify or replace these Terms at any time. If a revision is material, we will make reasonable efforts to provide at least 30 days notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion.

By continuing to access or use our Service after revisions become effective, you agree to be bound by the revised terms.

15. Governing Law

These Terms shall be governed and construed in accordance with the laws of the State of Texas and federal law of the United States, without regard to its conflict of law provisions. Any legal disputes arising from or related to these Terms shall be resolved in the state or federal courts located in Texas.
